Tom C. Clark

Tom has been providing legal services and advice to businesses, entrepreneurs and business owners for more than 25 years.

Tom provides legal representation throughout the life of the business entity from formation to dissolution. Tom represents his business clients in a variety of areas, including:

Business Governance

Tom is experienced in providing the required legal documentation for corporations, limited liability companies, limited partnerships, and general partnerships. In addition to helping entrepreneurs select the appropriate form of entity, Tom provides the legal expertise and documents for governance meetings, resolutions, annual meetings and special meetings.

Contracts and Business Transactions

Tom has written hundreds of contracts for his business clients to document a myriad of transactions. Whether you need a disclaimer for a website, or contract ‘terms and conditions’ for a purchase order, Tom can address your company’s legal needs. Tom has also drafted numerous asset purchase agreements, corporate merger documents, and many other types of business transaction documents. Utilizing his litigation experience, Tom is able to draft documents that avoid common language that often leads to litigation.

Business Litigation

The balance of Tom’s practice involves general commercial litigation. As part of that practice, Tom represents businesses in their various litigation needs from collections, to contract disputes, and enforcing property rights.

Employment Practices

Since the early 1990’s, Tom has provided guidance to companies with respect to the ever-changing laws, rules and regulations that govern employment practices. Tom has handled EEOC complaints, Title VII cases, administration and legal issues involving the FLSA, Americans with Disabilities Act, Age Discrimination in Employment Act, and other federal and state laws relating to employees. Using his experience with employment litigation, Tom is able to advise his clients on how to avoid getting into litigation.

Tom has been involved in writing and litigation non-competition agreements for over a quarter century. In that time, he has watched the continued struggle between our Texas legislature that favors non-competes, and a court system that, until recently, has not.

Education and Credentials

Tom graduated from Baylor Law School in 1989 with his Juris Doctorate Degree. He graduated from Baylor University in 1986 with honors. He is from East Texas, having graduated from Gladewater High School in 1982.

Tom has been licensed to practice law in the State of Texas since November of 1989. He is also admitted to practice in the federal courts for the Northern, Eastern and Western District of Texas, and in the Fifth Circuit Court of Appeals in New Orleans.

Representative Businesses

Tom has represented many different types of businesses, mainly in the Dallas and North Texas area. In general, Tom’s clients include car dealerships, commercial construction contractors, construction subcontractors, title companies, service businesses, restaurants, inventors, retailers, wholesalers, and lending institutions.

Tom has been retained by several different insurance companies to defend legal malpractice cases involving business transactions. The insurance companies choose Tom to handle these types of cases because his extensive experience in representing businesses allows him to understand the transactions being litigated. Tom has also been engaged to represent other industries under their errors and omissions coverage.

Tom also represents homeowners associations and property management companies.
